Beta Participation & Terms of Service

BETA PARTICIPATION & TERMS OF SERVICE AGREEMENT

This Beta Participation & Terms of Service Agreement ("Agreement") is entered into between A&S Tree Service LLC ("Company") and the user ("User"). By accessing or using the AquaService.AI platform, the User agrees to be bound by these terms.

1. NATURE OF SERVICE & BETA STATUS
The User acknowledges that the AquaService.AI platform is currently in a "Beta" or developmental stage. The platform is provided "AS IS" and "AS AVAILABLE." The Company makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of any AI-generated diagnostic, chemical treatment recommendations, or route planning. The User understands that artificial intelligence is known to make mistakes, produce inaccurate results, and generate recommendations that may be incorrect, incomplete, or unsafe. All recommendations provided by the platform are for informational and reference purposes only and should not be relied upon as the sole basis for any decision.

2. NON-LIABILITY & REFERENCE ONLY
The AquaService.AI platform is a reference and informational tool only. The Company is not liable for any mis-dosing of chemicals, usage errors, or any damage caused, potentially caused, or indirectly caused to any hot tub, spa, equipment, property, or person. The User assumes full and complete responsibility for any action taken based on platform recommendations. The User waives all claims, demands, and causes of action against the Company, its owners, officers, employees, and agents for any damage or injury arising from use of the platform.

3. INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS
All intellectual property rights, including but not limited to AI models, algorithms, workflows, diagnostic logic, treatment plans, chemical dosing calculations, route optimization logic, and all other proprietary technology contained within the platform, remain the sole and exclusive property of Billy Ashmore. The User acknowledges that all platform content is proprietary and confidential.

4. NON-DISCLOSURE AGREEMENT (NDA)
As a Beta participant, the User agrees not to disclose, share, copy, reverse engineer, or make public any intellectual property, proprietary information, algorithms, workflows, or confidential details of the AquaService.AI platform — including, without limitation, all proprietary products owned by A&S Tree Service LLC and its inventor, Billy Ashmore: the Net Debris Catcher (Debris Net Catcher / Service Debris Net Catcher) and the Theo Mac waterfall removal tools, together with all of their designs, product configurations, specifications, dimensions, construction details, material selections, manufacturing processes, product information, documentation, and associated intellectual property — to any third party. This non-disclosure obligation applies to the platform and to each and every proprietary product listed herein, individually and collectively. Any breach of this non-disclosure obligation constitutes a material breach of this Agreement and may result in immediate termination of access, legal action, and pursuit of all available remedies including injunctive relief and monetary damages.

5. DATA USAGE
The User grants the Company a non-exclusive, royalty-free, perpetual license to use, analyze, and incorporate any data, feedback, or diagnostics generated through the User's account into the Company's proprietary models, datasets, and future patent applications.

6. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising hereunder shall be resolved in the state or federal courts located in Minnesota.

7. USER ACKNOWLEDGEMENT
By using the AquaService.AI platform, the User acknowledges they are participating in a Beta testing program, that artificial intelligence is known to make mistakes, that the platform is a reference tool only, and that the User assumes all risk and responsibility for any actions taken based on platform recommendations.

8. THIRD-PARTY ACKNOWLEDGEMENT (FAMILY, FRIENDS, ROOMMATES, SPOUSE & OTHERS PRESENT)
By accepting this Agreement, the User explicitly represents, warrants, and covenants that they have obtained the knowing and voluntary consent, authorization, and agreement of every family member, friend, roommate, spouse, partner, loved one, and any other person present or within earshot (the "Vicinity Parties") of any conversation, interaction, demonstration, or use of the AquaService.AI platform. The User acknowledges and agrees — on their own behalf and on behalf of all such Vicinity Parties — that all information, conversations, data, diagnostics, recommendations, and any other content generated, discussed, or observed through the platform is the sole and exclusive proprietary and confidential property of the inventor, Billy Ashmore, and the Company, and that neither the User nor any Vicinity Party shall use, disclose, copy, share, reverse engineer, or make public any such proprietary information. The User represents that they have informed all Vicinity Parties of these restrictions and that each Vicinity Party has acknowledged and agreed to be bound by them. The User accepts full responsibility and liability for any breach of this section by any Vicinity Party. This acknowledgement is a material condition of access to the platform.

9. PROPRIETARY PRODUCTS — NET DEBRIS CATCHER & THEO MAC WATERFALL REMOVAL TOOLS
The User acknowledges that the following are proprietary products of Aqua Service Now, owned exclusively by A&S Tree Service LLC and its inventor, Billy Ashmore:

(a) "Net Debris Catcher" (also referred to as the "Debris Net Catcher" or "Service Debris Net Catcher") — including all designs, product configurations, specifications, dimensions, construction details, material selections, elastic-hem and full-surface-cover features, manufacturing processes, product information, documentation, and all associated intellectual property; and

(b) "Theo Mac Waterfall Removal Tools" — including all designs, tool configurations, specifications, dimensions, construction details, material selections, manufacturing processes, product information, documentation, and all associated intellectual property.

All rights, title, and interest in and to each of the foregoing proprietary products, including all related designs, product information, and intellectual property, remain the sole and exclusive property of A&S Tree Service LLC and Billy Ashmore. The User and all Vicinity Parties shall not copy, reproduce, manufacture, sell, distribute, reverse engineer, or otherwise use or disclose any aspect of any such proprietary product, its designs, or its product information without the express written consent of A&S Tree Service LLC. Any unauthorized use, manufacture, or disclosure of any proprietary product covered by this Agreement constitutes a material breach and may result in immediate termination of access, injunctive relief, and legal action.
